The Ashlee Simpson Sound Check Party Sweepstakes (“Sweepstakes”) starts at 9:00 am (EDT) on April 22, 2008 and ends at 11:59 pm (EDT) on May 22, 2008 (the “Entry Period”). The sponsor of the Sweepstakes is The Wet Seal, Inc., 26972 Burbank, Foothill Ranch, CA 92610 (“Wet Seal”). The Sweepstakes is subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein. Certain restrictions may apply.

ELIGIBILITY: Sweepstakes is open only to legal residents of the 50 United States. Void in Puerto Rico, other United States territories, outside the 50 United States, and where prohibited or restricted by law. To be eligible, entrant must be at least thirteen (13) years of age or older as of the date of entry. Employees of Sponsor or Universal Music Group, their immediate family members and those living in the same household, and their respective affiliates, subsidiaries, parent and related companies, officers, directors, contractors and agents (collectively, the “Promotion Parties”) are not eligible. All federal, state and local rules and regulations apply.

HOW TO ENTER: During the Entry Period, you may enter the Sweepstakes by completing an entry form at any Wet Seal store. You may enter by texting “Ashlee” to 54989. To enter via the Internet, go to the “Ashlee Simpson Sound Check Party” section at the Wet Seal website at www.wetseal.com (the “Entry Site”) and follow the directions on how to enter. You will be asked to provide your name, address, telephone number, date of birth and e-mail address. Enter by mail by hand-printing the words “Ashlee Simpson Sound Check Party” on a 3” x 5” card and include your name, address, telephone number, date of birth and e-mail address. Mail entry to: Wet Seal-Ashlee Simpson Promotion, 26972 Burbank, Foothill Ranch, CA 92610. All mail-in entries must be postmarked by May 22, 2008 and received by May 29, 2008. Entries will be disqualified if they contain any inappropriate material or language, including profanity. Automated entry attempts will be rejected and may result in disqualification.

REGARDLESS OF ENTRY METHOD YOU MAY ENTER THIS SWEEPSTAKES ONLY ONE (1) TIME. MULTIPLE ENTRIES WILL DISQUALIFY YOU. ALL ONLINE ENTRIES MUST BE RECEIVED BY 11:59 PM (EDT) ON MAY 22, 2008. ALL MAIL-IN ENTRIES MUST BE POSTMARKED BY MAY 22, 2008 AND RECEIVED BY MAY 29, 2008. NO PHOTOCOPIES OF MECHANICALLY REPRODUCED ENTRIES WILL BE ACCEPTED.

The Promotion Parties, Internet service provider(s) and each of their respective affiliates, subsidiaries, parent corporations and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, “Releasees”) are not responsible for: any incorrect or inaccurate entry information provided by you; human error; technical malfunctions; failures, omissions, interruptions, deletions, or defects of any cell phone provider, network computer online systems, computer equipment, servers, or software, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes; inability to access any web site including, but not limited to the Entry Site, theft, tampering, destruction, or unauthorized access to, or alteration of entries; entries that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or on any web site; or any mail-in entries which are late, lost, incomplete, misdirected, stolen, mutilated or illegible, postage due or any combination thereof. Proof of mailing entry or entering information at Entry Site is not considered proof of delivery or receipt. Illegible and incomplete entries are disqualified. All entries become property of Sponsor and will not be acknowledged or returned. False and/or deceptive entries or acts shall render such entries ineligible. By registering to enter Sweepstakes, you affirm that you have read and accepted these Official Sweepstakes Rules. The laws of the United States apply to and govern this Sweepstakes and any claims must be raised and resolved in the United States. Any information collected by registering to enter the Sweepstakes shall be used only in a manner consistent with these Official Sweepstakes Rules and with the Wet Seal Privacy Policy, which can be viewed at http://www.wetseal.com.

WINNER SELECTION: A total of ONE (1) GRAND PRIZE WINNER and TEN (10) RUNNER UP WINNERS (each a “Winner”) will be selected in a random drawing from among all eligible entries on or about July 1, 2008 by judges selected by Sponsor. All decisions of the Judges are final in all matters relating to this Sweepstakes. The Winner will be notified by telephone or overnight mail service by July 14, 2008 and will be required to execute and return an Affidavit of Eligibility/Release of Liability/Publicity Release within seven (7) days of issuance or an alternate winner will be chosen. By entering and/or accepting the prize, Winner consents (except where prohibited) to the reasonable use by Sponsor of the Winner’s photograph, voice, likeness and/or image, hometown address, contents of the entry form and the name and age of the Winner without any further compensation for any future promotional activity related to this Sweepstakes. Winner will be required to complete and return IRS Form W-9 (Request for Taxpayer Identification Number and Certification) within this same time period. Failure to sign and return all required documents in this time period will result in forfeiture and disqualification of Winner and an alternate Winner will be selected. If winner is under 18 years of age, Winners parent or legal guardian must complete the affidavit and releases.

PRIZES: There will be one (1) Grand Prize awarded. The Grand Prize shall include coach class airline tickets for up to five (5) people (if age 18 or over, Winner and four (4) guests. If under age 18, Winner, one (1) parent or legal guardian, and three (3) guests to Los Angeles, California, up to two (2) hotel room(s) for two (2) nights at a hotel in or near Los Angeles, California, ground transportation to and from, and admission to a private sound check party and “meet and greet” with Ashlee Simpson after the sound check. Five (5) tickets to the show, $100.00 Wet Seal Gift Cards for Winner and four (4) friends, one (1) autographed CD and a one (1) exclusive Ashlee Simpson designed top available only at Wet Seal. Approximate retail value of Grand Prize is $4,508.00. There will be ten (10) Runner Up prizes awarded. Each Runner Up prize will shall include one (1) autographed CD, one (1) exclusive Ashlee Simpson designed tee, and one (1) $50.00 Wet Seal Gift Card. Approximate retail value of each Runner Up prize is $80.00. NOTE: Any concession item(s) and all other expenses not specified herein, including, but not limited to transportation to and from the airport, gratuities, insurance and all incidentals are the sole responsibility of the Winner and its companions. All federal, state, local and any other taxes are the responsibility of the Winner. Grand Prize Winner must be able to attend the Sound Check Party in Los Angeles on a date chosen and time selected when Ashlee Simpson will be performing in or prize may be forfeited and an alternate winner selected. Air travel shall be from a major airport reasonably close to the Grand Prize Winner’s home address as stated on the Winner’s entry form, selected by Sponsor and/or Universal Music Group in its sole discretion. Airline and hotel will be selected by Sponsor and/or Universal Music Group at its sole discretion. Travel companions must travel on the same itinerary and at the same time as Grand Prize Winner. If Grand Prize Winner or any travel companion is under age 18, that person must be accompanied by a parent or legal guardian. No transfer, substitution, or cash equivalent for the prize permitted, except by Sponsor and/or Universal Music group at its sole discretion. If necessary due to unavailability of the Grand Prize or Runner Up prizes, a prize of equal or greater value will be awarded at the discretion of the Sponsor and/or Universal Music Group. Prizes are provided by Universal Music Group and The Wet Seal, Inc.

ODDS OF WINNING: Odds of winning the Grand Prize or Runner Up Prizes depends upon the total number of eligible entries received for the Sweepstakes and are equal regardless of the method of entry.

LIMITATIONS ON LIABILITY: Releasees will not be liable to Winner or any other person for failure to supply any prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Releasees’ control.

GENERAL: By entering this Sweepstakes, entrants agree that Releasees shall not be liable for personal injuries, death, damages, expenses or costs or losses of any kind resulting from participation or inability to participate in this Sweepstakes or acceptance of or use of or inability to use the prize or parts thereof, including, without limitation, claims, suits, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light (whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. Winner releases the Releasees from any and all liability and responsibility with respect to the prize (including any property loss, damage, personal injury or death). Winner acknowledges that the Releasees have neither made nor are in any manner responsible for any warranty, representation or guarantee, expressed or implied, in fact or in law, related to the prize.

If for any reason, this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries per these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is canceled, terminated, modified or suspended, Sponsor reserves the right to conduct a random drawing to aware the prize from among all eligible, non-suspect entries received before the time of the action or event warranting such cancellation, termination, modification or suspension. If such cancellation, termination, modification or suspension occurs, notification will be posted at www.wetseal.com.

CAUTION: ANY ATTEMPT BY A CONTESTANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LIGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AN/DOR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Where a dispute arises about who submitted an on-line entry, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met.

NOTE: Internet entry must be made by the entrant only at the Entry Site. Entries made by any other individual or any entity, and/or originating at any other Internet web site or e-mail address, including, but not limited to, commercial sweepstakes subscription notification and/or entering services sites, will be declared invalid and disqualified from this Sweepstakes. The use of any devise, hardware and/or computer software to automate the entry process is prohibited.
